Terms and Conditions

NwB Group Expert Network

These Terms and Conditions establish an agreement between you and NwB Group Pte, its subsidiaries or affiliates, (“NwB", “we”,”our '',”us”) and govern your engagement through NwB. Please review and acknowledge these Terms upon participating in a scheduled engagement with NwB Client(s).

Overview

NwB Expert Network is composed of practitioners, professionals, and academics from a variety of industries who offer consulting services to clients of NwB. These clients may include consulting firms, corporations, institutional investment firms, research firms, and other entities engaged in research. As necessary to meet the requirements of our clients, we will reach out to appropriate members of the NwB Expert Network to determine their suitability and availability for a consulting project (referred to as a "Project"), which may take various forms, such as a telephone consultation, teleconference, online survey, meeting, or discussion group.

Expert Responsibilities

I. Prior to Consultation

It is your obligation to assess the scope of the project and use reasonable care to determine whether you are capable of participating in a potential consultation upon receiving contact from NwB. Please refrain from participating in the consultation if any of the following circumstances apply to you:

  1. Your participation may result in a violation of any law or regulation, or you have a reasonable suspicion that it might;

  2. Your participation may result in a breach of any agreement or obligation with a third party, or you have a reasonable suspicion that it might;

  3. Your participation may likely infringe on any obligations towards a current or former employer;

  4. Your participation may result in a breach of any duty of confidentiality you are obligated to uphold;

  5. You know or suspect that the client is acting on behalf of a competitor of your employer or the entity you serve on the board of, or that there is or may arise any professional, regulatory, or other conflict.

II. During the Consultation

  1. You will be expected to provide accurate and complete information to the best of your knowledge, expertise, and experience.

  2. You will maintain confidentiality and not disclose any confidential information obtained during the consultation to any third party.

  3. You will comply with all applicable laws and regulations related to your participation in the consultation.

  4. You will not engage in any activities that could be perceived as a conflict of interest or that may compromise your objectivity or impartiality during the consultation. You will promptly disclose any potential conflicts of interest or other issues that may impact your ability to provide accurate and unbiased information during the consultation.

  5. You will not use any information obtained during the consultation for personal gain or to benefit a third party.

  6. You will promptly notify the consulting firm or NwB Group if you become aware of any errors, omissions, or inaccuracies in the information you provided during the consultation. VIII. You are prohibited from disclosing personal contact information and interacting with our clients outside of consultations arranged through NwB.

  7. NwB Group Pte Ltd is not a registered investment adviser and cannot transact business as an investment adviser or give investment advice. You agree not to provide to NwB Group Pte Ltd or to any Client any investment advice including, without limitation, advice concerning the value of any security or the advisability of buying, selling or otherwise investing in any security.

Terms of Payment

I. Payment Conditions

  1. Payment of fees for the consultation services provided by NwB to the expert is contingent upon the completion of the consultation, and the hourly rate agreed for the particular project. The expert will only be eligible for compensation if they were contacted and contributed to the consultation. Time spent waiting or set aside, if no consultation is completed, will not be compensated.

  2. NwB will contact the expert prior to the consultation to confirm the hourly rate agreed. Written confirmation will be given at any time during the course of the consultation. III. The expert will be compensated at the hourly rate agreed for a specific consultation, solely for the time spent interacting with NwB's client(s). It is understood that the client(s) have no obligation to contact the expert for any specific amount of time or at all.

  3. Payment for preparatory and follow-up work done in connection with any consultation will only be made upon prior written approval of NwB. Any interaction with a client outside of consultations arranged through NwB, even if it is a follow-up to a recent consultation, will not qualify for payment.

II. Payment Terms

  1. NwB shall provide you with a remuneration notice within three (3) days of receiving confirmation from our client that you have completed the consultation. Upon receiving the payment fee notice, you must confirm your participation and provide NwB with your banking/payment details.

  2. NwB agrees to make payment for any invoice submitted by you within thirty (30) days from the receipt of your confirmation.

Confidentiality

I. Confidentiality of Expert Information

Upon accepting these Terms and Conditions, you are agreeing to provide NwB with updated information regarding your academic background, career history, skills, perspectives, and fields of expertise.

You provide your consent that NwB may use the information you have provided regarding your career history, skills, perspectives, and fields of expertise for the purposes of determining your potential suitability for a consultation, facilitating your participation in projects, and providing prospective clients with a summary of your career history to select the most relevant expert for a possible consultation.

We implement physical and technological measures to safeguard your information from unauthorized access, illegal manipulation, processing, accidental loss, or damage both online and offline. We will retain your information for a reasonable period of time or as mandated by law.

II. Confidentiality of NwB and Clients

As a member of NwB's network, you agree to maintain the confidentiality of Restricted Information, which includes the following:

  • Client identities (do not disclose on resumes, websites, or business networking profiles)

  • Information about projects and project invites

  • Any actual or potential business, investment, or trading decisions or transactions of clients

  • Materials and information provided by clients

  • Any other nonpublic or proprietary information of NwB or its clients

You may not disclose or use any Restricted Information until it becomes publicly available through no action of your own, except when required by law or expressly permitted by NwB for a specific project. If you are compelled to disclose any Restricted Information, you must notify NwB promptly and cooperate in protecting the information as much as possible under applicable law. You must return or destroy any Restricted Information upon request by NwB or the client.

You may disclose the general topic and client description to obtain necessary third-party consent before accepting a project invitation. You owe the same duty of confidentiality to other Network Members as you would to clients under these Terms & Conditions.

If you are introduced to other Network Members during projects or platform activities, you may not solicit them for projects or engagements outside of NwB without prior written consent from NwB.

You understand and agree that certain of NwB Group Pte Ltd’s Clients may elect to record and/or transcribe consultations between their personnel and Advisors, and that you will have no access to or control over any such recording or transcription. Where NwB Group Pte Ltd has been notified that a Client will record and/or transcribe a consultation with you, NwB Group Pte Ltd has policies and procedures in place reasonably designed to ensure that we obtain your consent prior to such consultation. NwB Group Pte Ltd is not responsible for the content and/or quality of any recording and/or transcript.

Governing Laws

The laws of Singapore will govern the validity, interpretation, performance, and enforcement of the terms and conditions of these Terms, regardless of any conflicting legal provisions.

I. Severability:

If any provision of these Terms & Conditions is determined to be illegal, invalid, or unenforceable by an arbitrator or a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

II. Survival of Certain Provisions:

The provisions of the sections (including subsections) of these Terms & Conditions titled Confidentiality of NwB and the Clients, and Confidentiality of Expert Information shall survive any termination or expiration of these Terms & Conditions.

III. Termination:

These Terms & Conditions shall remain in force until terminated by either party. You may withdraw from the NwB Network at any time by providing notice to NwB, subject to your obligation to complete Projects for which you are engaged. NwB reserves the right to terminate or limit your membership in the NwB Network at any time and for any reason.
